2. How long does it take to incorporate a new company?

Between three (3) to seven (7) days.

3. What is the minimum number of directors required to incorporate a new company?

One (1) director is required to incorporate a new company.

4. Can a foreigner be a director of the new company?

Yes, provided the company also has another director who is a resident in Malaysia. Resident meaning such director has a home in Malaysia.

5. What do you mean by a company’s Constitution?

A company’s constitution (previously known as the Memorandum and Articles of Association) is a set of internal rules of your company. This document contains information such as the number of signatories the directors are required to pass a resolution, length of notice required for an Annual General Meeting to be held, and etc.

CLOSING OF COMPANY (STRIKE OFF)

What are the conditions if I want to close (strike off) my existing Company?

A company can only be struck off if:

• The company has no outstanding debts to any creditors;

• The company does not have any outstanding fines or payments to regulatory bodies such as the Companies Commission or the Inland Revenue Board;

• The company is not a Holding Company; and

• The company is not a Guarantor Corporation.
