Setting up your new company in Malaysia in just a few simple steps!

Legal Requirement

Get A Permanent Address

Under the New Companies Act 2016, a minimum of one (1) person can act as director and shareholder of the new company. It is not necessary that this one person must be a Malaysian Citizen. As long as he has a permanent address in Malaysia, it will suffice.

*If you are a foreigner, and also do not have a permanent address in Malaysia, then you have to appoint another director who is a resident in Malaysia. A hotel address is not accepted by SSM (Suruhanjaya Syarikat Malaysia).

Company Setup Procedure

Step 1 – Company’s Name Search (1 – 2 Days)

You have to give us a few company names for us to search with the SSM. What this means is that SSM will have to approve the name before we can use it to incorporate the company. They will reject the name if it is quite similar to an existing company’s name. If the latter happens you will have to give us other names, for us to search until at least one is approved. We require your name and NRIC No. or Passport No. (if foreigner) to do this search. We will also require the main type of business you intend to perform.

The name search will take about 1-2 days, for SSM to process. At this stage, we would require a photocopy of your I/C (one director will do). You can email it to us.

Step 2 - Document Processing

When the above company name is approved we can proceed to process the other documents.

At this stage we require the following from you; two (2) types of business you intend to perform in the new company that you are setting up, for example:

  • Manufacturing of motor spare parts; and

  • Import and export of household products.

It is okay if you just do one business only, even if you have listed two (2) additional types of business above.

Step 3 – Signature of director(s)

After processing the documents we shall sent it to you for your signatures.

Step 4 –Stamping and Filing of documents with SSM (2 – 3 Days)

When the documents are signed and returned to us, we will pay the stamp duty and SSM fees. This government department will take about 3 days to process the documents.

Step 5 – Certificate of Incorporation (Section 17)

The final stage is when SSM issues the certificate of incorporation. This is like a birth certificate of your company. In total if your company’s name is approved, it will take about three (3) to seven (7) days only for the whole process to be completed.

Post Incorporation

We can assist you in opening a bank account by preparing a resolution and giving you a set of certified documents etc.
